Governance and compliance on the PMPĀ® exam

Organizational process assets (OPAs) are the organization's own policies, procedures, templates and records that a project draws on and adds to; enterprise environmental factors (EEFs) are the conditions around the project that it cannot change. Project governance is built from the first and operates inside the second, and the part experienced managers trip on is that escalation runs on written thresholds.

02Governance is decision rights plus thresholds

The Business Environment task on defining and establishing project governance covers structure, rules, procedures, ethics and policies held as OPAs, along with success metrics and escalation paths and thresholds (PMIĀ® Examination Content Outline, paraphrased). A working setup answers three questions before anything goes wrong: who decides what, which forum hears what, and at what size a problem moves up a level.

A threshold only works when it is measurable. "Escalate major delays" leaves every manager to decide what major means; "any forecast slip of the go-live date beyond ten working days goes to the program board" does not.

Each decision also needs one accountable owner. In a RACI chart (responsible, accountable, consulted, informed) that means exactly one A per decision or deliverable, however many people sit in the other columns. The first document that writes any of this down is usually the project charter, which names the sponsor and the project manager's authority.

With two of the eight Business Environment tasks, governance and compliance carry roughly 6.5% of the exam. We derived that figure from PMI's 26% domain weight (as of October 2026), since PMI does not weight individual tasks.

03The shortcut to the vice president

On the job

A problem feels big and you know the vice president from an earlier project, so you send a direct message and get a quick answer.

In the exam room

You check the escalation path and threshold in the governance plan. Below the threshold you resolve it at your level and record it; above it, you take it to the named forum with the impact, the options and a recommendation.

TakeawayEscalation paths send decisions to the people who hold the authority. Skipping rungs feels fast and spends credibility.

04Compliance from requirement to evidence

  1. Find the requirements

Security, health and safety, sustainability and regulatory obligations that apply to the product and to how it is built. The 2026 outline names all four.

  2. Classify them

Which are law or contract, which are internal policy, and which deliverables each one touches.

  3. Weigh the threats

Where could the project fall short, and what would it cost: a fine, rework, a launch on hold? Gaps that might still happen go in the risk register, the territory of risks, issues and impediments.

  4. Build them into the work

Acceptance criteria, reviews and test steps carry the requirement, so it is checked with the deliverable. A change to a regulated deliverable goes through change control with the compliance impact in its analysis.

  5. Measure and report

A compliance register shows status. Gaps get an owner, and anything past the threshold goes into governance.

05Thresholds, forums and evidence in practice

The stems here range from a single RACI chart to a regulator's notice.

Work packages 17

  1. WP 01A compliance exception is required for a regulatory deliverable. Which governance forum should receive the formal request?

Debrief answer to open the notes

    1. AA compliance officer without mapped deliverables or owners cannot judge the exception or record it formally.
    2. BCorrect: a compliance exception is a governance decision; the steering committee, given a documented evidence package, can approve it and leave an audit trail.
    3. CVerbal sponsor approval leaves no record for auditors and bypasses the governance forum.
    4. DThe change control board handles changes to baselines; a regulatory exception needs governance authority.
  2. WP 02A regulatory reporting event triggers a sudden compliance audit on a complex project. The project manager must rapidly provide an evidence package to demonstrate strict governance compliance. What should this evidence package primarily contain?

Debrief answer to open the notes

    1. AA RACI matrix shows responsibilities but not that governance decisions were actually made and approved.
    2. BCorrect: auditors look for evidence, and version-controlled artifacts with sign-off traces show that baseline changes followed governance.
    3. CA risk register lists potential deviations, not proof that past decisions were properly approved.
    4. DStatus reports describe progress; they do not demonstrate controlled approvals.
  3. WP 03A US-based project manager is finalizing the handover of a healthcare software system to the operations team. The transition documentation includes historical user test data. What must the project manager do to ensure compliance with privacy regulations during this handover?

Debrief answer to open the notes

    1. ACorrect: privacy rules limit transferring personal data; removing it from handover materials keeps operations compliant and follows retention policy.
    2. BSeeking consent from every past test user is impractical and unnecessary when the data can simply be excluded.
    3. CKeeping an extra copy of personal data on a local drive increases exposure and likely breaches policy.
    4. DHanding over the complete database transfers personal data that operations does not need.
  4. WP 04While planning a payroll rollout in a new country, the project manager finds that the PMO's mandatory data-handling template allows payroll records to be stored offshore, but the country's data protection law requires them to stay in the country. The PMO says templates must be used as issued. What should the project manager do?

Debrief answer to open the notes

    1. AThe template is an organizational process asset the organization can change; the law is an environmental factor the project must work within.
    2. BCorrect: the law (an EEF) constrains the plan, and the template (an OPA) gets updated through the PMO so the next project does not hit the same gap.
    3. CSeeking an exemption from a law to fit an internal template reverses the order: internal assets adapt to external constraints.
    4. DComplying is right, but leaving the template wrong keeps the gap open for the next project and works around the PMO without a record.
  5. WP 05Project activities conflict with a published organizational policy. What escalation steps are required?

Debrief answer to open the notes

    1. AQuietly adjusting activities leaves no record of the conflict or of who decided how to resolve it.
    2. BCorrect: a conflict with organizational policy is outside the project's authority to resolve, so document it and route it to governance.
    3. CPolicy compliance is not a team vote; governance decides on exceptions.
    4. DProceeding knowingly and noting it at closeout accepts a policy breach for the rest of the project.
  6. WP 06A PMO must monitor supplier compliance for regulated data handling. Which combination of KPIs, thresholds, and reporting cadence best captures status in the compliance register while enabling timely corrective action plans?

Debrief answer to open the notes

    1. AContracts signed and spend measure procurement volume, not compliance status.
    2. BCorrect: attestation coverage and overdue remediation are measurable compliance indicators, and a quarterly register review drives corrective plans on a set cadence.
    3. CNDAs and SLA breaches cover confidentiality and service, not regulated data-handling compliance.
    4. DAn annual report is too infrequent to trigger timely corrective action.
  7. WP 07Steering committee receives tactical task request. How should PM respond to preserve governance boundaries?

Debrief answer to open the notes

    1. AResolving tactical issues in the steering meeting pulls governance into operations and leaves no record.
    2. BEscalating to the sponsor moves the item further up instead of to the level that should own it.
    3. CCorrect: governance boundaries keep tactical decisions at the operational level; routing to the functional lead with a documented plan keeps the committee on strategy.
    4. DAdding it to the agenda invites the committee to keep handling work outside its remit.
  8. WP 08A regulator-impacting change request requires documentation. Which mapping ensures contract and audit compliance?

Debrief answer to open the notes

    1. AChanging the SOW without an amendment leaves the contract and the work out of sync.
    2. BCorrect: linking the SOW change to a contract amendment and the audit log ties scope, contract, and evidence together.
    3. CKeeping the audit trail apart from the contract breaks the traceability auditors need.
    4. DAmending the contract after implementation means work was done without contractual authority.
  9. WP 09Experiencing a minor two-day vendor delay, a project manager immediately escalates the issue to the executive board, intentionally bypassing the PMO and Sponsor. What is the likely impact of this action?

Debrief answer to open the notes

    1. ACorrect: escalation paths are tiered so each issue reaches the lowest level able to resolve it; skipping tiers floods executives and undercuts the sponsor and PMO.
    2. BVisibility is not risk management; a two-day delay should be handled within the project's tolerances.
    3. CEscalation does not transfer accountability; the project manager still owns vendor management.
    4. DExecutives rarely act faster on minor issues, and bypassing tiers usually causes rework and friction.
  10. WP 10During an external compliance review of a hybrid project, the auditor notifies the project manager of a critical data security vulnerability. The project sponsor demands that the team immediately conduct a root-cause analysis to find who is responsible. What should the project manager do FIRST?

Debrief answer to open the notes

    1. AEscalating before assessing severity hands leaders an unclassified issue and delays containment.
    2. BCorrect: classify severity and contain first to limit exposure; root-cause analysis follows once the risk is under control.
    3. CDisputing the finding before containing it leaves the vulnerability open.
    4. DA blame-focused root-cause analysis before containment leaves the vulnerability exposed and damages team trust.
  11. WP 11A supplier dispute introduces potential compliance risk. What escalation path is required?

Debrief answer to open the notes

    1. ACorrect: compliance exposure in a contract dispute needs legal review, and documented contract evidence lets legal assess it quickly.
    2. BKeeping it internal leaves a potential compliance issue without expert review.
    3. CTerminating right away may breach the contract and is not a decision to make before legal review.
    4. DTeam negotiation cannot settle regulatory exposure, which needs legal judgment.
  12. WP 12A compliance officer was removed from the project communication matrix without impact analysis, risking an upcoming regulatory audit. What is the MOST appropriate next action?

Debrief answer to open the notes

    1. ASilently reassigning a compliance role hides the gap and leaves the replacement without authority.
    2. BAsking to postpone the audit treats the symptom and may not be granted.
    3. CRemoving compliance references to avoid scrutiny is unethical and makes the audit risk worse.
    4. DCorrect: reverse the unanalyzed change, record what happened with timestamps, and inform the auditors transparently.
  13. WP 13A supplier delay will slip two critical milestones and add 7% cost. Governance thresholds require escalation for >5% cost or two milestones. What should the PM do first?

Debrief answer to open the notes

    1. ALogging the risk and continuing ignores that governance thresholds have already been crossed.
    2. BCorrect: both thresholds are crossed, so escalation is required, and showing what was tried locally with options makes the escalation decision-ready.
    3. CEscalating with only a problem statement hands governance a problem without analysis or options.
    4. DNegotiating penalties off the record gives up the evidence that governance and procurement will need.
  14. WP 14A project team identifies a new regulation that could impose substantial penalties for noncompliance. The gap involves high legal exposure, tight compliance timelines, and critical project deliverables. What is the most appropriate action?

Debrief answer to open the notes

    1. AA quarterly review is too slow for a high-penalty regulation with tight timelines.
    2. BWaiting for the next milestone lets legal exposure grow while controls remain inadequate.
    3. CA verbal mention leaves no record and does not give governance what it needs to decide.
    4. DCorrect: high legal exposure exceeds the project's authority; escalate promptly with the exposure, timeline, and resources needed so governance can decide.
  15. WP 15A single RACI matrix is currently used for both steering committee funding approvals and day-to-day software coding tasks, leading to widespread stakeholder confusion. How should the project manager restructure this framework?

Debrief answer to open the notes

    1. ACorrect: separate the levels; a governance RACI for funding decisions and an operational RACI for delivery tasks remove the ambiguity.
    2. BMaking everyone consulted adds noise and slows decisions without clarifying roles.
    3. CHanding all accountability to functional managers removes the governance layer that approves funding.
    4. DOne person accountable for everything ignores that funding approvals belong to governance bodies.
  16. WP 16During a recent compliance audit, a critical security vulnerability was identified, requiring immediate remediation. The technical team has just finished implementing the required patch, and the lead developer reports that the system is now functioning normally. What should the project manager do next to ensure full compliance?

Debrief answer to open the notes

    1. AReleasing staff before the fix is verified and documented risks reopening the finding with no team left.
    2. BCorrect: closure needs evidence; independent validation confirms the fix, and updating the compliance register and change logs completes the record.
    3. CAsking for sign-off before validation and documentation gives the auditor nothing to verify.
    4. DA broad review meeting may be useful later, but verification and records come first.
  17. WP 17A high-severity escape must be reported to regulators. Select the sequence that satisfies containment, notification, and corrective action requirements.

Debrief answer to open the notes

    1. AWaiting for a full recall delays a required notification that regulators expect promptly.
    2. BRoot cause analysis takes time; containment and notification cannot wait for it.
    3. CContinuing to ship a known high-severity escape increases harm and breaks the reporting duty.
    4. DCorrect: contain first by quarantining stock, notify the regulator as required, then open a CAPA to find and fix the root cause.
